These Terms of Service ("Terms") govern your access to and use of the FCOS platform, including all products and services offered by FCOS Think Tank ("FCOS", "we", "us", or "our") through builder-api.fcosthinktank.co.uk and related applications. FCOS stands for Founder Clarity Operating System.

Please read these Terms carefully. By creating an account or using any FCOS product, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using any FCOS product — including FCOS Synapse, FCOS Sprint, FCOS Build, or FCOS Think Tank — you confirm that you have read, understood, and agree to these Terms. If you are using FCOS on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the platform.

2. Description of Services

FCOS provides a suite of AI-powered business tools designed for founders, entrepreneurs, and teams. Our products include:

• FCOS Synapse — A document workspace for creating, organising, and managing pages, notes, and structured content. Includes AI-assisted writing and planning features.
• FCOS Sprint — A file manager for uploading, organising, and managing project files and assets.
• FCOS Build — A coding IDE (integrated development environment) for writing, editing, and managing code directly within the FCOS platform.
• FCOS Think Tank — An AI chat interface for brainstorming, research, and conversational AI assistance.

Features may vary by subscription tier and may be updated, modified, or discontinued at our discretion.

3. Account & Access

3.1 Account Registration

To use FCOS, you may need to create an account. You agree to provide accurate information and to keep your account details up to date.

3.2 Subscription Tiers

FCOS offers tiered access levels:

• Free — Basic access with limited features and usage quotas.
• Pro — Expanded features, higher usage limits, and priority support.
• Enterprise — Full platform access with custom configurations and dedicated support.
• Founder — Premium tier with early access to new features and enhanced capabilities.

Feature availability and limits for each tier are described on our platform and may change over time.

3.3 API Keys & Credentials

Certain features may require you to provide your own API keys (for example, keys for third-party AI providers). You are solely responsible for the security, use, and any costs associated with your API keys. FCOS stores API keys in your browser's local storage only and does not retain them on our servers. You must not share your account credentials or API keys with unauthorised parties.

3.4 Account Security

You are responsible for all activity that occurs under your account. If you become aware of any unauthorised use, please contact us immediately.

4. Acceptable Use

You agree to use FCOS only for lawful purposes and in accordance with these Terms. Specifically, you must not:

• Use the platform for any illegal, fraudulent, or harmful activity.
• Abuse, exploit, or misuse AI features — including generating content that is harmful, deceptive, defamatory, or that violates the rights of others.
• Attempt to reverse engineer, decompile, or disassemble any part of the FCOS platform or its underlying technology.
• Scrape, crawl, or use automated tools to extract data from the platform without our written permission.
• Interfere with or disrupt the platform, its servers, or connected networks.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or other harmful code.
• Use the platform to send spam, bulk messages, or unsolicited communications.
• Attempt to gain unauthorised access to other users' accounts or data.

We reserve the right to suspend or terminate access for any user who violates these terms.

5. Intellectual Property

The FCOS platform — including its design, code, branding, logos, user interface, and all related technology — is the intellectual property of FCOS Think Tank and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on the FCOS platform without our express written consent.

Nothing in these Terms transfers any FCOS intellectual property rights to you, except the limited right to use the platform in accordance with these Terms.

6. User Content

6.1 Ownership

You retain full ownership of all content you create, upload, or store on the FCOS platform. This includes pages, documents, files, code, notes, and any other material you produce using our tools ("User Content"). FCOS does not claim any ownership rights over your content.

6.2 Limited Licence

By using the platform, you grant FCOS a limited, non-exclusive, royalty-free licence to host, store, serve, display, and transmit your User Content solely for the purpose of providing and operating the FCOS services. This licence exists only for as long as your content remains on our platform.

6.3 Your Responsibility

You are solely responsible for the content you create and store on FCOS. You represent that you have the necessary rights to any content you upload and that your content does not infringe on the rights of any third party.

7. AI Features Disclaimer

FCOS integrates artificial intelligence features across its products, including AI-assisted writing, code generation, chat, and analysis tools. Please be aware of the following:

• Not professional advice. AI-generated outputs are not a substitute for professional financial, legal, medical, tax, or other specialist advice. AI outputs are provided for planning, brainstorming, and informational purposes only.
• Accuracy not guaranteed. AI models may produce inaccurate, incomplete, or outdated information. AI outputs may contain errors, hallucinations, or biases.
• Your responsibility. You are solely responsible for reviewing, verifying, and validating any AI-generated output before relying on it or taking action based on it.
• No warranty. FCOS makes no representations or warranties regarding the accuracy, reliability, or completeness of any AI-generated content.

You should always exercise your own judgement and, where appropriate, seek qualified professional advice.

8. Data & Privacy

Your privacy matters to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.

Key points:

• Your data is stored on FCOS servers located in the United Kingdom.
• We do not sell your data to third parties.
• When you use AI features, your content may be processed by third-party AI providers (such as OpenAI and Anthropic) in accordance with our Privacy Policy.

9. Payment & Billing

9.1 Subscription Fees

Certain FCOS products and features require a paid subscription. By subscribing to a paid tier, you agree to pay the applicable fees as described on our platform at the time of purchase.

9.2 Pricing Changes

We may change our pricing from time to time. We will give you reasonable advance notice of any price changes. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

9.3 Billing Cycle

Subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan). Payment is due at the start of each billing cycle.

9.4 Refunds

Payments for the current billing period are non-refundable. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period, after which your account will revert to the Free tier.

9.5 Failed Payments

If a payment fails, we may retry the charge or suspend access to paid features until the payment issue is resolved.

10. Service Availability

FCOS is provided on an "as is" and "as available" basis. While we strive to maintain high availability, we do not guarantee uninterrupted or error-free access to the platform.

• No uptime guarantee. We operate on a best-efforts basis and do not offer formal service level agreements (SLAs) unless separately agreed in writing (for example, under an Enterprise arrangement).
• Maintenance. We may perform scheduled or unscheduled maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned maintenance.
• Modifications. We reserve the right to modify, update, or discontinue any feature or service at any time, with or without notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• FCOS, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the platform.
• This includes, without limitation, damages for loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability to you for any claims arising from or related to these Terms or the platform shall not exceed the total fees you have paid to FCOS in the twelve (12) months immediately preceding the event giving rise to the claim.
• If you are on the Free tier and have paid no fees, our maximum liability shall be limited to fifty pounds sterling (GBP 50).

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under the laws of England and Wales.

12. Termination

12.1 Termination by You

You may stop using the platform and close your account at any time by contacting us or using the account settings (where available).

12.2 Termination by FCOS

We may suspend or terminate your access to the platform at any time if you breach these Terms, if required by law, or if we decide to discontinue the service. Where reasonably possible, we will provide notice before termination.

12.3 Effect of Termination

Upon termination:

• Your right to use the platform will cease immediately.
• Your User Content will remain available for export for a period of thirty (30) days following termination. After this period, we may permanently delete your data.
• Any provisions of these Terms that by their nature should survive termination will continue to apply (including sections on intellectual property, limitation of liability, and governing law).

13. Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices.

When we make material changes, we will notify you by posting the updated Terms on the platform and updating the "Effective date" at the top of this page. Where appropriate, we may also notify you by email or through an in-app notification.

Your continued use of the platform after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the platform.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
